How often is my account data updated?

Up-to-date information on your commission is a few clicks away. All the important stats you need, such as generated commissions, sign ups, depositing players, views and clicks are update daily and can be found by simply logging in to your account.

What if I have multiple websites?

The more sites, the better! You can log into your affiliate account and add them yourself by doing the following:

  • Expand the ‘My Account’ menu
  • Click ‘Marketing sources’
  • Click the 'Add' button
  • Fill out the form for each site
  • Get a tracking code for each site
  • Post up links and ads

You’ll then start earning money from the added website! By creating multiple marketing sources for each website, you’ll even be able to track the performance of each of your websites by checking its own unique tracking code. The same can be done for different sub-pages on each website too.

What marketing material will be available to me?

When you log in you will find a selection of marketing assets ready to be used, such as static banners, thumbnails and Flash/Gif banners. This affiliate agreement (the “Agreement”) sets out the complete terms and conditions between Maxent Ltd, whose principal place of business is situated at JPR Buildings, Level 1, Triq Taz-Zwejt, San Gwann SGN3000, Malta (together, or individually as the context requires, "Max Affiliates"), and you, regarding your application to participate as an affiliate (an "Affiliate") in the Max Affiliates affiliate program (the “Affiliate Program”).

It is important that you read and understand this Agreement. By completing an application to join the Affiliate Program you are – subject to Max Affiliates approval of your application – agreeing to the terms and conditions of this Agreement. If you do not agree to the following terms and conditions, you should discontinue your application.

This Agreement replaces all previous terms and conditions relating to the Affiliate Program or any previous affiliate program offered by Max Affiliates and BringIt affiliates. You agree that this Agreement supersedes all previous agreements you have had with Maxent Ltd or any Group Company (as defined below).

The words and terms should be interpreted as follows, unless, the context clearly implies otherwise:

“Affiliate Payment” means any Revenue Share, Hybrid Payments and/or Bounty Payments;

“Affiliate Program” means any program offered by Maxent Ltd, Max Affiliates, or BringIt.

“Max Affiliates” means the website at http://www.maxaffiliates.com and its advertised program;

“Application” means your application to join the Affiliate Program;

“Maxent Ltd” means Maxent Ltd, situated at JPR Buildings, Level 1, Triq Taz-Zwejt, San Gwann SGN3000, Malta

"Business Day" means any day (excluding Saturdays and Sundays) which is not an official public holiday in Malta;

“Bounty Payments” means the bounty payments described in clause 5.7;

“Code” means the unique code that may be used by Customers when registering for an account with Max Affiliates which is made available to you via the Affiliate Program Site

"Commencement Date" means the date on which Max Affiliates confirms that your application to join the Affiliate Program has been accepted

“Confidential Information” means all information in any form relating to a party (and any Group Company in the case of Maxent Ltd) (the “Disclosing Party”) that is directly or indirectly disclosed to the other party (the “Receiving Party”), including any personal data and/or customer data, by any of the Disclosing Party’s employees, professional advisers or contractors before or after the Commencement Date;

“Customers” means all persons who open an account with BETAT Casino, Slotty Vegas or Vulkanbet.com for the first time either using a Code or who arrive at a Maxent Ltd owned website site by clicking on Links on the Internet Site which are tagged to the said affiliate;

"Good Industry Practice" means the exercise of that degree of skill, diligence, prudence and foresight which would reasonably and ordinarily be expected from a skilled and experienced contractor acting in good faith;

"Group Company" means Maxent Ltd and any corporation which is from time to time a holding company of that company, a subsidiary of that company or a subsidiary of a holding company of that company (“holding company” and “subsidiary” having the meanings attributed to them by s.1159 of the Companies Act 2006) and shall include any company in which a Group Company has a shareholding of 50% or more;

“Hybrid Payment” means the hybrid payments described in clause 5.7;

“Immediate family” means your spouse, partner, parent, child or sibling;

"Internet Site” means your website or websites located at the web address(es) provided to Max Affiliates in your Application or subsequently changed from time to time and notified to Max Affiliates via the Affiliate Program Site;

"IPR" means any and all patents, trademarks, service marks, rights in designs (including semi-conductor topography design rights and circuit layout rights), get-up, trade, business or domain names, goodwill associated with the foregoing, e-mail address names, copyright including rights in computer software (in both source and object code) and rights in databases (in each case whether registered or not and any applications to register and rights to apply for registration of any of the foregoing), rights in inventions and web-formatting scripts (including HTML and XML scripts), know-how, trade secrets and other intellectual property rights which may now or in the future subsist in any part of the world including all rights of reversion and the right to sue for and recover damages for past infringements;

"Links" means hypertext links (either a banner or text link) downloaded from the Affiliate Program Site that link to the web page http://www.maxaffiliates.com or any other site owned or controlled by Maxent Ltd or any Group Company;

"Net Casino Winnings" means total real winnings from Customers (real stakes received less real winnings paid out) made by the casino product accessible via the BETAT Casino, Vulkanbet.com or Slotty Vegas websites, less any payments to third party software providers, the cost of any promotional offers (including any sign up bonuses), any jackpot contributions, adjustments made for any credit card charge-backs or any other reversal of a payment, fraudulent or otherwise voided or modified transactions, bad debt, and liability to any betting duty or licensing fees for data or other duty, tax or expense that may arise;

"Parties" means the parties in this Agreement;

“Revenue Share” means the revenue share payments described in Clause 5.5.

In this Agreement (except where the context requires otherwise):

1.0

Clause headings are included for convenience only and shall not affect the interpretation of this Agreement;

1.1

Any phrase introduced by the terms including, include, in particular or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms;

1.2

the singular includes the plural and vice versa; and

1.3

Reference to a statute or statutory provision is a reference to that statute or statutory provision and to all orders, regulations, instruments or other subordinate legislation made under the relevant statute.

2.0

In consideration of you making the Links available on the Internet Site and subject to the terms and conditions of this Agreement, Max Affiliates will procure that you are granted a non-exclusive, non- transferable, terminable licence to use the Links on the Internet Site solely for your internal business purposes and in accordance with such other limitations and restrictions as set out in this Agreement.

2.1

It is a condition of this Agreement that you will not do any of the following:

  • display the Links other than on the Internet Site;
  • display the Code in any offline media without Max Affiliates prior written approval;
  • display data from the Links via any electronically accessible medium other than the Internet Site without the express written consent of Max Affiliates;
  • display data from the Links via any electronically accessible medium other than the Internet Site without the express written consent of Max Affiliates;
  • and/or use the Links or Code in a way which proves or is likely to prove detrimental to Max Affiliates.

3.0

You have full capacity and authority to enter into this Agreement and any other documents executed by you that may be associated with this Agreement;

3.1

You will always conduct yourself with all due skill, care and diligence, including Good Industry Practice, and in accordance with your own established procedures and all applicable laws, enactments, orders, regulations and other similar instruments;

3.2

You will comply with Max Affiliates security guidelines and requirements as may be issued by Max Affiliates from time to time whether in writing or otherwise;

3.3

All information you provided in your Application is correct and that you will notify Max Affiliates promptly of any changes;

3.4

You will promptly change the address of the Internet Site on request by Max Affiliates;

3.5

You will keep secret and not allow anyone else to use your login and password details for the Affiliate Program Site;

3.6

The Links will not be placed on any part of the Internet Site which may be aimed at people under 18 years of age;

3.7

You will not directly or indirectly offer any potential Customer or Sub-Affiliate any incentive (including payment of money or other benefit) to use the Links or Code;

3.8

You have obtained and will maintain in force all necessary registrations, authorisations, consents and licences to enable you to fulfil your obligations under this Agreement and that you will fully comply with all applicable laws and regulations including any advertising codes;

3.9

The Internet Site will not contain any material which is defamatory, violent, pornographic, unlawful, threatening, obscene or racially, ethnically, or otherwise discriminatory or in breach of any third- party rights and shall not link to any such material;

3.10

You will not seek to challenge the validity of IPR belonging to Max Affiliates or any associated brands;

3.11

You will use all reasonable endeavours to display the Links and Code on the Internet Site without interruption for the duration of this Agreement;

3.12

You will ensure that all communications originating from you relating to Max Affiliates make it clear that such communications are sent by and on behalf of you (and not from or on behalf of Max Affiliates);

3.13

You will not edit, alter or amend any marketing, promotional and/or creative materials which have been produced by or on behalf of Max Affiliates without permission and confirmation by Max Affiliates;

3.14

You will not encourage or assist any Customers to breach any terms and conditions agreed to when opening an account with Max Affiliates or associated brands;

3.15

You will not, and you will not encourage or assist any Customers to, engage in behaviour which in Max Affiliate’s reasonable opinion breaches the terms or abuses the spirit of a promotion, competition, tournament or offer operated by Max Affiliates or a Group Company; and

3.16

You will not register any domain names or register keywords, search terms or other identifiers for user in any search engine, portal, sponsored advertising service or other search or referral service that incorporate terms which are identical or similar to Max Affiliates or any other trademarks owned by Maxent Ltd or associates brands and you will at all times comply with such reasonable guidelines for the use of such trademarks as may be issued from time to time.

You agree that:

4.0

Your Immediate Family or close relations may not become Customers and you shall not be entitled to any payment under this Agreement in relation to such persons;

4.1

Max Affiliates may monitor the Internet Site to ensure you are complying with the terms of this Agreement and you will provide Max Affiliates with all data and information – including passwords – to enable Max Affiliates to perform such monitoring at no cost to Max Affiliates.

4.2

The Electronic Commerce (EC Directive) Regulations 2002 will not apply to this Agreement.

You warrant that:

5.0

You are not and have never been engaged in any activity, practice or conduct which would constitute an offence under the Bribery Act 2010;

5.1

You have not been the subject of any investigation, inquiry or enforcement proceedings by any governmental, administrative or regulatory body or any customer regarding any offence or alleged offence under the Bribery Act 2010, and no such investigation, inquiry or proceedings have been threatened or are pending and there are no circumstances likely to give rise to any such investigation, inquiry or proceedings; and

5.2

You will adhere to the requirements and principles of the Bribery Act 2010 and inform Max Affiliates of any suspected breaches that may have an impact upon Max Affiliates.

5.3

In consideration of the display of the Links and Code and introducing Customers and subject to compliance of all terms of this Agreement, you will be entitled to payment on the following terms.

5.4

You will be able to indicate your initial preferred payment upon having been approved to join the program. The chosen option will be confirmed by Max Affiliates once Max Affiliates accepts your Application.

5.5

Subject to these terms, if you select Revenue Share, Max Affiliates shall pay you in respect of each Customer the selected percentages of Net Casino Winnings for as long as a Customer has an account with Max Affiliates.

5.6

If you select a Bounty Payment Max Affiliates shall pay you the selected payment or current standard payment which is payable in accordance with the terms on the Affiliate Program Site.

5.7

 

If you select a Hybrid Payment, Max Affiliates shall pay you:
(a) the selected hybrid bounty payments payable in accordance with the terms on the Affiliate Program Site;
(b) the selected percentages of Net Casino Winnings for as long as each Customer has an account with a relevant Max Affiliates brand.

5.8

You may request to change your Commission Option via the Affiliate Program Site no more than once every calendar month. Max Affiliates may accept or reject any such request in its complete discretion. If your request is accepted the new Commission Option will come into effect on the 1st of the following calendar month and will only apply to Customers introduced after that date.

5.9

Max Affiliates may withdraw a Commission Option at any time by giving notice to you. You will then be required to select another Commission Option via the Affiliate Program Site which will apply to any Customers whose date of first registration is on or after your date of selection.

5.10

You will be able to review statements showing the number of Customers introduced by you via the Links or using the Code and Affiliate Payments, if any, which have accrued over the course of the calendar month, using the Affiliate Program Site. Such statements are for information purposes only. Max Affiliates will endeavour to ensure that such statements will be updated daily but is under no obligation to do so. If you have reached the threshold set out in clause 5.11, Max Affiliates will, at the end of a calendar month, inform you of the amount of the Affiliate Payments, if any, for the preceding calendar month (the "Amount Due").

5.11

In the event that the Amount Due for a calendar month is a negative amount, Max Affiliates will not carry forward or set off such negative amount against Amounts Due for future months which would otherwise be payable to you. If the Amount Due for a particular calendar month does not exceed €100 or the equivalent in any other currency, Max Affiliates will be entitled to withhold and carry forward such amount to the end of the next calendar month in which the Amount Due (including any sums carried forward in this way) exceeds €100 or the equivalent in any other currency, at which time payment shall be made in accordance with clause 5.11.

5.12

Subject to clause 5.10/5.11 Amounts Due to you in respect of a calendar month will:
(a) in the event that you are registered for VAT or any equivalent tax in the jurisdiction in which you are based, you‘ll be paid within 30 days of either (i) Max Affiliates issuing you an invoice for the amount due under the self-billing arrangements described in below; or (ii) receipt of your invoice for the amount due; or
(b) if you are not registered for VAT or any equivalent tax in the jurisdiction in which you are based, you’ll be paid within 30 days of the end of such calendar month or, if Max Affiliates requires an invoice in respect of the services, within 30 days of either (i) Max Affiliates issuing you an invoice for the amount due under the self-billing arrangements described below; or (ii) receipt of your invoice for the amount due.

5.13

All payments made to you by Max Affiliates under this Agreement are:
(a) deemed inclusive of any VAT or other tax payable;
(b) will be paid in Euros.

5.14

In the event that a Customer:

(a) has been introduced in breach of any term of this Agreement or the terms and conditions to which they agree on registration with respective brand;
(b) makes an initial deposit which is subject to a chargeback or which is reversed for any other reason;
(c) uses your Refer and Earn code or that of a member of your Immediate Family (or the code relating to any similar or replacement of the Max Affiliates customer referral scheme) when signing up for an account;
(d) fails any identity or credit checks carried out by Max Affiliates or on its behalf;
(e) is located in a territory from which the Max Affiliates and its Group Companies does not accept customers; or
(f) has their account closed by the Risk Department at Max Entertainment for any reason deemed to be of a fraudulent nature by the risk team.
you will not be entitled to receive any Affiliate Payments in respect of such Customer. In the event that any such payment has already been made to you in respect of such Customer you will promptly repay the amount paid on receiving notice from Max Affiliates. Max Affiliates will be entitled, but not obliged, to set-off any amount owed as a result against future Affiliate Payments.

6.0

In addition to payments to be made under clause 5 above, where a new affiliate registers for the Affiliate Program for the first time via the Links (a “Sub-Affiliate”) you will be entitled to a payment equivalent to the percentage notified to you via the Affiliate Program Site, of any payments made to such Sub-Affiliate under its affiliate agreement with Max Affiliates.

6.1

Sub-Affiliates may not be directly or indirectly owned or controlled by you or your Immediate Family and you shall not be entitled to any payment under this Agreement in relation to such a Sub- Affiliate.

6.2

In the event that any Affiliate Payment to a Sub-Affiliate is reclaimed under the terms of its agreement with Max Affiliates or payments are made to you in breach of other clauses above, you will promptly repay the amount paid on receiving notice from Max Affiliates. Max Affiliates will be entitled, but not obliged, to set-off any amount owed as a result against future payments under this Agreement.

6.3

All payments under this clause will terminate when payments to the relevant Sub-Affiliate end for whatever reason.

6.4

Max Affiliates may change the level of any payment due in respect of future Sub-Affiliates you refer at any time by giving notice to you.

6.5

Payments under will be made in accordance with compliance of all clauses above.

7.0

Max Affiliates will notify you if it decides, in its absolute discretion, to raise invoices on your behalf in respect of the services you supply under this Agreement as part of a self-billing arrangement.

7.1

In the event that Max Affiliates notifies you that it will raise invoices on your behalf and you are VAT registered in a member state of the European Union, you agree:

(a) that Max Affiliates will raise invoices in respect of the services you supply under this Agreement as part of a self-billing arrangement;
(b) not to raise any invoices for services provided under this Agreement while the self-billing arrangements are in place;
(c) that you will accept each self-billed invoice issued by Max Affiliates in respect of the services provided by you under this Agreement;
(d) to immediately notify Max Affiliates if:

(i) your VAT number changes;
(ii) you are no longer registered for VAT; or
(iii) your business is transferred as a going concern.

7.2

The arrangements set out above will last for the duration of the Agreement and any subsequent period during which you receive payments under this Agreement.
Max Affiliates makes no representation that any of its services, or those provided by any of its brands, will be uninterrupted or error free and, to the fullest extent permissible by law, it will not be liable for the consequences of any such interruptions or errors.

7.3

All IPR in the Links belong to Maxent Ltd. All IPR in any third-party materials shall belong to the third-party owner thereof.

7.4

Nothing in this Agreement purports to grant a licence, provide any warranty or offer any indemnity in respect of any data that is not owned by Max Affiliates its brands. In the event that you require access to any such data, you agree that you will give Max Affiliates an opportunity to secure rights to the same and (if it becomes necessary to do so) you will pay the costs of securing a licence to the same from the relevant third party data owner or either party may terminate this Agreement immediately.

7.5

Each party shall immediately notify the other party if any claim or demand is made or action brought against it for any infringement or alleged infringement of any IPR which may affect the supply or use of the Links.

8.0

You acknowledge that the security of Max Affiliates’ data and its systems is fundamental to the business of Max Affiliates and its Group Companies, and if you become aware of a breach or potential breach of security relating to the Links, you will immediately notify Max Affiliates of such breach or potential breach and use your best endeavours to ensure that any potential breach does not become an actual breach and/or to remedy any actual breach and its consequences.

8.1

You warrant that you will at all times comply with the provisions of the Data Protection Act 1998 and the Privacy and Electronic Communications (EC Directive) Regulations 2003 and any equivalent legislation in any jurisdiction which is applicable to the Internet Site and your activities.

8.2

You will ensure that all media assets created are approved by the Max Affiliates design team prior to being made public. You will ensure that no media made public may appeal in any way or form to persons younger than 18 years of age.

9.0

During the term of this Agreement and after termination or expiration of this Agreement, each party shall not use any Confidential Information belonging to the other party for any purpose other than in pursuance of its rights and obligations under this Agreement nor disclose any of the other party’s Confidential Information to any person except with the prior written consent of the other party and shall follow Good Industry Practice to prevent the use or disclosure of the Confidential Information. This obligation will not apply to any Confidential Information that:

(a) has come into the public domain other than by breach of this Agreement, or any other duty of confidence;
(b) is obtained from a third party without breach of this clause or any other duty of confidence;
(c) has been disclosed to a party by a third party, other than a company within its Group not in breach of any duty of confidence;
(d) is trivial or obvious;
(e) is required to be disclosed by law or other regulatory requirement provided notice is given to the other party prior to disclosure where legal to do so; or
(f) is in the possession of the Party at the time the Confidential Information was disclosed to it by any other party or which is independently developed without reference to any Confidential Information of the other party.

9.1

Each party may disclose any Confidential Information to its directors, other officers, employees, advisers and sub-contractors and to those of any company in its Group to the extent that such disclosure is reasonably necessary in order to comply with its obligations under this Agreement and provided that they are subject to equivalent confidentiality obligations as those set out in this clause.

9.2

On termination of this Agreement each party shall (on request) deliver up to the other party or destroy all copies of Confidential Information in its possession, and (if so requested) shall use all reasonable endeavours to destroy all copies of Confidential Information stored electronically except to the extent that it is obliged to retain such information under any law, regulation or licence condition applicable to that party or any company in its Group.

9.3

The parties shall together determine the content of any communications concerning the relationship between the parties. Such communications shall be issued at a time and in a manner agreed by the parties. You will indemnify and hold harmless Max Entertainment from and against any and all losses, demands, claims, damages, costs, expenses (including consequential losses and loss of profit, reasonable legal costs and expenses and VAT thereon if applicable) and liabilities suffered or incurred, directly or indirectly by Max Affiliates in consequence of any breach by you of your obligations under this Agreement.

10.0

Save as provided by statute and to the fullest extent permitted by law, the following provisions set out the entire liability of Max Affiliates (including any liability for the acts and omissions of its employees, agents and sub-contractors) to you whether in contract, tort, statute, equity or otherwise:

(a) you acknowledge and agree that (except as expressly provided in this Agreement) the Links, Affiliate Program Site and all Max Affiliates and its Group Companies products are provided "AS IS" without warranties of any kind (whether express or implied);
(b) all conditions, warranties, terms and undertakings (whether express or implied), statutory or otherwise relating to the delivery, performance, quality, accuracy, uninterrupted use, fitness for purpose, occurrence or reliability of the Links or the Affiliate Program Site are hereby excluded; and
(c) neither Max Affiliates or its Group Companies will be liable to you for any losses relating to your use of the Links or the Affiliate Program Site or any breach of this Agreement by Max Affiliates including loss of profits (whether direct or indirect), revenues, goodwill, anticipated savings, data or any type of special, indirect, consequential or economic loss (including loss or damage suffered by you as a result of an action brought by a third party) even if such loss was reasonably foreseeable or Max Affiliates had been advised of the possibility of you incurring such loss.

10.1

No exclusion or limitation set out in this Agreement shall apply in the case of:

(a) fraud or fraudulent misrepresentation;
(b) death or personal injury resulting from the negligence of any party or any of its employees, agents or sub-contractors; and/or
(c) any breach of the obligations implied by (as appropriate) section 12 of the Sale of Goods Act 1979, section 2 of the Supply of Goods and Services Act 1982 or section 8 of the Supply of Goods (Implied Terms) Act 1973.

10.2

The time limit within which you must commence proceedings against Max Affiliates to recover on any claim shall be 2 years from the date you become aware or should reasonably have become aware of the relevant breach that would form the subject of the claim.

11.0

Neither party shall be in breach of this Agreement nor liable for delay in performing, or failure to perform, any of its obligations under this Agreement if such delay or failure result from events, circumstances or causes beyond its reasonable control, and in such circumstances the affected party shall be entitled to a reasonable extension of the time for performing such obligations, provided that if the period of delay or non-performance continues for 15 Business Days, the party not affected may terminate this Agreement immediately by giving notice to other party to terminate.

11.1

Max Affiliates may terminate this Agreement immediately in the event that:

(a) the Affiliate breaches any of the terms of this Agreement which, in the case of a breach capable of remedy, has not been remedied within five (5) Business Days of receipt of a notice from Max Affiliates specifying the breach and requiring its remedy;
(b) the Affiliate suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due, begins negotiations for or makes any voluntary arrangement with its creditors, becomes subject to an administration order, has an administrative receiver or receivers appointed in respect of the whole or any part of its assets, goes into liquidation (voluntary or otherwise save for any voluntary liquidation entered into solely for the purposes of a bona fide reconstruction or amalgamation);
(c) the Affiliate is made the subject of a bankruptcy petition or order;
(d) the Affiliate ceases or threatens to cease carrying on its business;
(e) the Affiliate, in Max Affiliates’ opinion, is in breach of the terms of any applicable advertising code of practice including the CAP code and any voluntary codes Max Affiliates has agreed to abide by;
(f) Max Affiliates ceases to accept Customers from or to advertise in any jurisdiction which is targeted by the Internet Site; or
(g) fails to change the web address of the Internet Site on Max Affiliates’ request in accordance with above terms.

11.2

Clause 11.1 will apply if any event occurs, or proceeding is taken, with respect to the Affiliate in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in those clauses.

12.0

Except as set out in clause 12.2 below, termination of this Agreement shall be without prejudice to any rights or obligations which shall have accrued prior to termination.

12.1

On termination of this Agreement all licences granted to you pursuant to this Agreement will immediately terminate.

12.2

If Max Affiliates terminates this Agreement under clause 11.1 or you terminate this Agreement under clause 11.0 (except when you do so following a material variation to the terms of the Agreement under clause 15.2) you will not be entitled to receive any further payments pursuant to clauses 4 and 5 following such termination.

12.3

Clauses 9, 10, 11 and 18 together with any other clauses for the survival of which is necessary for the interpretation or enforcement of this Agreement will survive termination of this Agreement for whatever reason.

13.0

You will not assign, novate, declare a trust of or otherwise dispose of this Agreement, or any part thereof, without the prior written approval of Max Affiliates.

13.1

Max Affiliates may assign or sub-contract any of its rights and obligations under this Agreement to a Group Company at any time without giving notice to you.
This Agreement constitutes the entire and only Agreement between the parties with regards to its subject matter and the parties confirm that they have not been induced to enter into this Agreement in reliance upon, nor has it been given, any warranty (including in particular any warranty as to merchantability, fitness for purpose or uninterrupted functionality), representation, statement, assurance, covenant, agreement, undertaking, indemnity or commitment of any nature whatsoever other than as are expressly set out in this Agreement and, to the extent that it has been, it unconditionally and irrevocably waives any claims, rights or remedies which it might otherwise have had in relation thereto.

14.0

Nothing in this Agreement and no action taken by the parties pursuant to this Agreement shall constitute, or be deemed to constitute:

(a) the parties as a partnership, association, joint venture or other co-operative entity; or
(b) any party the agent of another party, nor authorise any party to make or enter into any commitments for or on behalf of any other party.

15.0

No breach of any provision of this Agreement shall be waived or discharged except with the express written consent of the parties.

15.1

No failure or delay by a party to exercise any of its rights under this Agreement shall operate as a waiver thereof and no single or partial exercise of any such right shall prevent any other or further exercise of that or any other right.

15.2

Max Affiliates may modify all or any part of this Agreement at any time. Max Affiliates will give you five (5) Business days’ notice of any such changes. If you do not agree to the changes you may serve notice to terminate this Agreement under clause 11 before the changes take effect and such changes will not apply for the duration of the notice period set out in clause 11. If you fail to terminate this Agreement and continue to participate in the Affiliate Program you will be deemed to have accepted the changes made under this clause. The latest modified date of these terms and conditions will be displayed at the bottom of this Agreement.

16.0

Notices and communications from Max Affiliates will be made by e-mail to the address provided by you on your application to join the Affiliate Program.

16.1

You should send all notices and communications to the following email address support@maxaffiliates.com or such other e-mail address as notified to you via the Affiliate Program Site from time to time.

17.0

No third party except MaxEnt Ltd may enforce any rights granted to it under this Agreement. Except as mentioned above the Contracts (Rights of Third Parties) Act 1999 shall not apply to this Agreement and no rights or benefits expressly or impliedly conferred by it shall be enforceable under that Act against the parties to it by any other person

17.1

Except with regard to the amendment of clause 11 the rights of the parties to terminate, rescind or agree any variation, waiver or settlement under this Agreement is not subject to the consent of any person that is not a party to this Agreement.
Each party shall, upon request from the other, do and execute, or procure that there shall be done and executed, all such documents, deeds, matters, acts or things as that other may at any time require to give it the full benefit of this Agreement.

18.0

This Agreement (and any dispute, controversy, proceedings or claim of whatever nature arising out of or in any way relating to this Agreement or its formation) shall be governed by and construed in accordance with Maltese law and the parties hereby irrevocably submit to the exclusive jurisdiction of the courts of Malta.
Advertising Guidelines

As operators licenced by the Malta Gambling Authority, we must abide by the Commercial Communications Committee Guidelines. Below, you will find the rules laid out within the document as mentioned above.

Commercial Communications must not:

  1. Any ads/marketing targeting MGA Territories, in English, should clearly state that it is not available to UK customers.
  2. Marketing cannot feature minors, any person under the age of 18, or who looks under 18.
  3. "The MGA licenses Maxent Ltd under the licence MGA/B2C/210/2011"
  4. Responsible gaming message (such as "Play Responsibly");
  5. All material information must be available in the advert (wagering/deposits requirements and any restrictions such as bonus validity).
  6. Full bonus/significant T&Cs have to be only one click away (from the ad)
  7. Portray, condone or encourage behaviour that is criminal or socially irresponsible or could lead to financial, social or emotional harm, or directly or indirectly encourage anti- social or violent behaviour
  8. Suggest that gaming can be a resolution to social, educational, professional or personal problems
  9. Suggest that gaming can be an alternative to employment, a solution to financial concerns or a form of financial investment
  10. Portray gaming as socially attractive or suggest that it can enhance personal and, or professional qualities, for example by improving self-image or self-esteem, or is a way to gain control, superiority, recognition or admiration
  11. Portray gaming in a context of toughness or link it to resilience or recklessness
  12. Portray gaming as indispensable or as taking priority in life, for example over family,friends or professional or educational commitments
  13. Suggest that solitary gaming is preferable to social gaming
  14. Suggest peer pressure to game, or disparage abstention from gaming
  15. Suggest that skill can influence the outcome of a game that is purely a game of chance
  16. Provide false or untruthful information about the chances of winning or expected return from gaming
  17. Exploit cultural beliefs or traditions about gaming or luck
  18. Refer to instantly available consumer credit services or any other ways of providing credit to players
  19. Tarnish the goodwill and privilege that is associated or related in any manner whatsoever to an authorised person or tarnish the image or reputation of another authorised person

General Rules and Guidelines for all Affiliates - All Markets

  1. No SMS, Email, Social, Native or any kind of direct marketing is allowed unless approved by your affiliate account manager
  2. Adverts and promotions shall always follow the company's effort to promote social responsibility and responsible gambling
  3. Any content or activity featuring, encouraging, or soliciting illegal activity is strictly prohibited
  4. Affiliates must not submit any unsolicited advertisements to consumers
  5. Affiliates must provide Maxent Ltd with details of anywhere marketing is conducted on behalf of Maxent Ltd but not limited to URLs, landing pages, brand displays, player destinations and social media
  6. Affiliates must only use creative supplied by, or approved by, Maxent Ltd.
  7. Affiliates cannot place marketing featuring brands on websites providing unauthorised access to copyrighted content.
  8. Required information: ALL adverts need to display information on the age restriction on gambling, Minimum age to play: 18+, and contact details to a help-organisation specialising in gambling problems, Responsible Gaming Foundation: https://www.rgf.org.mt, Gamble Aware: https://www.begambleaware.org, or a local entity.
  9. Sales promotions shall always be clear and accurately advertised
  10. It shall be made clear what is being marketed and who is behind the marketing
  11. Marketing shall not contain child-friendly images or games
  12. Marketing cannot target minors, have particular appeal to children and/or other vulnerable persons associated with youth culture
  13. Marketing shall not encourage anti-social or criminal behaviour
  14. Marketing cannot have any alcohol or the mention of alcohol in it
  15. Marketing cannot contain material that encourages conduct that could lead to social,financial or emotional harm.
  16. Marketing cannot encourage spending more than one can afford.
  17. Marketing cannot portray gambling as a primary source of income, a solution to financial problems, a form of financial investment, an alternative to employment, away to obtain financial security or a way to repay debts
  18. Marketing cannot provide an impression that winnings are guaranteed or that it is easy to win. The chances of winning have to be portrayed realistically
  19. Marketing cannot directly or indirectly link gambling to sexual success or enhanced attractiveness. Adverts shall not directly or indirectly feature themes that link gambling to toughness, resilience or recklessness
  20. Marketing shall not provide an impression that games of chance can be affected by skill or a particular technique.
  21. Marketing shall not provide an impression that gambling can increase personal or professional qualities, such as improving self-image or creating success, admiration and/or recognition.
  22. Marketing cannot suggest that gambling in any way could provide an escape from, for example, personal or professional problems or be a solution to any problems
  23. Marketing shall not promote solitary gambling over social gambling or suggest that gambling should take priority in life over friends, family, work etc.
  24. Marketing shall not use language or imagery connected to gambling addiction, such as mentions of negative emotions, guilt, aggression, frustration or sadness.
  25. Marketing cannot link gambling to recklessness or use language classically associated with increased risks of developing gambling problems, such as "highs and lows", "risk it all", etc.
  26. Content, CTAs cannot contain urgent prompting messages, such as Deposit Now; PlayNow, "Start playing now", "Play immediately", "Play now! ", "Try your luck", "Urgent","Hurry", "Test your luck in our Casino", variations on this theme or in any way suggest that time is running out.
  27. The following terms and similar variations shall not be used in marketing; 'Can't lose','Get Rich', "Win Big", "Your lucky day", "Guaranteed winnings", "Road to Success","Jackpot win coming, you could be next."
  28. Marketing does not claim that a product will only be available for a minimal time to elicit an immediate decision. Statements that are either aimed at rushing the customer into a decision or are considered to be an aggressive promotion technique shall not be used. Such not tolerated statements include but are not restricted to: "You have won x amount of bonus", "This bonus is only available today" (if the offer is not time-barred),"Get rich today."
  29. Marketing cannot contain material that could be perceived to condone gambling at work, or gambling add odd hours; such as in the middle of the night
  30. Marketing cannot exploit cultural beliefs or traditions about gambling or luck
  31. Any promotions, including large winnings by a brand, can only be real ones and include a date for when it occurred
  32. All affiliate websites have to make it clear for a viewer that they are not operated byRespective brand
  33. Marketing cannot provide an impression that Respective brand and/or Respective brand's promotions/offers are in any way promoted or pre-approved by a regulatory body. When mentioning license information or referring to the regulator, it should be done only in an informative way. (E.g. Licensed by… since….)
  34. Marketing shall not refer to instantly available consumer credit services or any other ways of providing credit to players
  35. Marketing shall not tarnish the goodwill and privilege that is associated or related in any manner whatsoever to an authorised person or tarnish the image or reputation of another authorised person
  36. Affiliates are not permitted to engage in any media buying through advertising exchanges, programmatic networks, etc. without prior written consent from theirAffiliate Account Manager
  37. As per the Agreement, Affiliates may not register or purchase any domain names identical or similar to or misspellings of the Brand names or trademarks
  38. Any Affiliate who registers domain names in breach of this rule will have their Affiliate account terminated, and further legal action may be taken.
  39. When including a game in an advert, the correct RTP should first be confirmed by theRespective brand or the game provider
  40. Advertorials are not allowed unless the content has been reviewed and approved in advance by your affiliate account manager.
  41. Marketing cannot claim that an offer is "free" when there are conditions attached where a consumer has to make any payment or "risk-free" when there is a potential loss involved.

Specific Guidelines for marketing of Bonus offers

  1. Any required information, and significant/essential terms and conditions, shall always be clearly and visibly displayed in direct connection to an advert
  2. ALL promotional marketing needs to clearly state that terms and conditions apply and make it just as clear where these terms can be found. IF there is not enough space to fit the full terms for an offer, these should be made available 1 click away to a page that shows the full terms immediately, to a compliant landing page or a page specifically designed for bonus terms.
  3. All adverts shall expressly state how to make use of an offer. For the avoidance of doubt, customers shall always be provided with sufficient information in order to be able to make an informed decision prior to accepting the offer. For example, the customer has to be fully made aware of all wagering requirements, deposit requirements, time restrictions, minimum bet, minimum odds etc
  4. Wherever space allows, essential/significant terms should be displayed, together with full terms only one click away. Significant or essential Terms are the terms and conditions for a bonus offer, which are most likely to affect a consumer's understanding of a promotion:
  5. Examples of what is considered essential terms
    • Eligibility: Restrictions on who can participate and how (ex. new players only or only available during September)
    • Payment: Pay/ deposit request to claim offer (ex. you need to deposit 10 Euro or play for 5 euro on starburst)
    • Wagering requirements: Including specific game restrictions (ex. 60 times wagering on casino games, game contribution varies between 0%-100%)
    • Time restrictions: Time limit to claim the offer, and to fulfil requirements (ex. 60 days min to meet any WR requirements or 100 days to claim the bonus
    • Max. and Min. amount: Including the max bonus amount that can be received or the maximum amount that can be won. (ex.   6. Terms and conditions for an offer, including essential terms and/or where to find full terms (one click away always), shall be clear, visible and easy to read for a viewer.
  7. This text has to be prominent and easily accessible for the viewer
  8. The text cannot be too small, placed vertically, translucent, or colour too similar to the background. The placement of the text shall be in direct connection to the offer, so the customer clearly can see the ad and this text at the same time.
  9. The text should be above the fold and as close to the offer headline as possible

Specific rules for Direct marketing

  1. Mailers and/or other forms of direct marketing are only allowed with express permission from your affiliate manager.
  2. All mailers and subject lines must be pre-approved by your affiliate manager
  3. Marketing materials can only be sent to individuals for whom you have valid opt-in marketing consent. You are responsible for meeting the requirements of data protection laws in these cases. See below for further info. ** - This must be provable to us, with a timestamp
  4. Emails should contain a line that states, "This message has been sent to you as you opted in to receive marketing from [affiliate name]."
  5. Every marketing message must contain an unsubscribe method, and all requests to unsubscribe must be actioned immediately and in any case within 24 hours of receipt
  6. The text to be sent to individuals should always be the respective brand's template found in our media gallery. If your affiliate account manager should give different,express permission
  7. Where a send-out features one brand-related offer and could reasonably be understood by the person receiving the send-out as being from and / or associated with the brand, the send-out must be clear that it has been sent by the Affiliate and should clearly state who the sender is
  8. There should be no false or misleading header information in the send-out
  9. You should alert your account manager immediately if you have, or think you have, sent marketing messages to any individuals that you do not hold marketing consent for.
  10. **Affiliates are regarded as data controllers when it comes to the sending of marketing communications. This means that you are responsible for meeting the requirements of data protection laws and, in this case, ensuring that you have valid marketing consent before you send out any marketing. Failure to meet your obligations can result in enforcement action from data protection supervisory authorities.
  11. To be sure you are collecting valid marketing consent, you should make sure you are doing the following:
    • Do not use pre-ticked boxes. Consent must be opt-in, so individuals must do something "positive" to show their consent, like tick a box, rather than a"negative" action like un ticking a box.
    • The wording you use must be unambiguous and specific. You should be making it very clear to individuals precisely what will happen if they tick the box.
    • Marketing consent must be separate from everything else. You can't combine multiple things in a tick box, and you definitely can't connect it with the acceptance of terms and conditions.
    • You should always aim to be as granular as possible. So, for marketing, you should offer individuals options for which channels they want to receive marketing through (e.g., email, SMS) or what type of marketing they wish to receive (e.g., sports book, casino).
    • Individuals must always be able to withdraw their consent at any time, and this must always be honoured. It must be as easy for them to withdraw their consent as it was for them to give it, and it must be free.
    • You cannot require individuals to consent to marketing as a pre-condition for using your services.

Specific rules for Social Media

  1. You will follow Maxent Ltd Advertising Guidelines for All Markets
  2. As an affiliate, you cannot promote our brand via private groups and/or private messages without express approval from your affiliate account manager.
  3. In addition to regulatory requirements and gambling regulation, you also need to follow the advertising guidelines provided by the channel; for example, Facebook,Twitter and Instagram have policies of their own which you have to follow
  4. Suppose approval has been provided for social media marketing. In that case, all social media sites must be age-gated and only individuals over 18 years of age should be able to access this media.
  5. Required information: The minimum age to play: 18+, and contact details to a help organisation specialising in gambling problems, shall be clearly stated in the about/bio section of the profile and in every post that features our brand. The help-organisation varies depending on the market you target; please see the guidelines above

Specific rules for Streamers

  1. Every streamer with an active channel (500+ followers) with an existing, engaging community and great content is more than welcome to promote us.
  2. Streaming shall be respectful towards the audience as well as we are.
  3. You will follow Maxent Ltd Advertising Guidelines for All Markets.
  4. Do not share inappropriate or false information or take part in any kind of activity that could harm others or Maxent Ltd in any possible way.
  5. No alcohol, or use of alcohol or any other type of addictive substance whilst streaming and in the context of gambling.
  6. Always consider Responsible Gambling and Social Responsibility when you stream; for example, do not use coercive or pressure tactics to encourage someone to gamble, do not encourage reckless or risk-taking gambling or use peer pressure to encourage someone to gamble more.
  7. If an offer is advertised in a video/stream, the streamer must clearly communicate in the speech that terms and conditions apply. The essential terms must be displayed in writing long enough for the viewer to read and understand, and the full terms for the offer must be found 1 click away from the ad
  8. Anyone taking part in a stream has to be over 18 years old. For any stream in the UK and/or done in English, anyone taking part in the stream has to be over 25+ years old.

Content Labelling for twitch: You are expected to accurately label your content to the best of your ability. Twitch streamers are to warn users that the content is intended for adult audiences, and evidence of this may be requested before they are accepted.

In addition to the above, it is up to you, as a responsible and trustworthy affiliate of Respective brand, to adhere to any other applicable laws or gambling regulations

Company Statement

Dear partners,

We regret to inform you that as of the 31st July 2022, Max Affiliates will be closing its doors for all our brands.

As from the 21st June 2022, we will not be accepting any further deposits across our sites and gameplay will be available until the 30th June 2022.

We will process your commissions for June as per usual, you will be able to request your payment once we close the month of June. If you have pending payment balance in your account, please send the invoice to accounts@maxent.com by the 31st July 2022.
